TERMS · EFFECTIVE NOVEMBER 1, 2026
Terms and Conditions for working together fairly.
This is how we work together: contracts, fees, cancellations, confidentiality and rights. Every section starts with a sentence in plain language. Below it is the rule that legally applies.
Part A: all clients · Part B: consumers · Part C: self-paced courses · Withdrawal notice
PREAMBLE
Our shared compass
Good results come from people working together as equals, with trust and with focus. These terms are the guardrails for that. They are meant to give both sides security, so we can concentrate on the actual work.
For us, agility means structured flexibility. We don’t work without a plan or on a whim. We plan in short steps, make interim results visible, ask for feedback early and adjust the course to reality. That gives both sides something to hold on to and protects the quality of the work.
This preamble describes our attitude. The binding rules for working together are in the sections that follow.
PART A · ALL CLIENTS · 1
Who we are and who these terms apply to
What this is about: HumansMatter and JEDERSHIP are our brands. Your contract partner is the company behind them.
1.1 Your contract partner is Alnaledari OÜ, J. Kunderi tn 8a, 10128 Tallinn, Estonia, registry code 16603522, VAT ID EE102551842, represented by Alexander Keller (“we” or “us”). We operate under the brands HumansMatter and JEDERSHIP.
1.2 These terms apply to all contracts you conclude with us for workshops, trainings, seminars, consulting, coaching, keynotes, facilitation and digital products such as self-paced courses. They apply to all offers on humansmatter.org and jedership.com.
1.3 “You” means our contract partner. That can be a company, an organization or a private individual.
- A business customer is anyone who concludes the contract for a commercial or independent professional activity.
- A consumer is anyone who concludes the contract mainly for private purposes.
Where a rule applies to only one of these groups, we say so explicitly. Part B also applies to consumers.
1.4 For business customers, only these terms apply. Your own purchasing or business terms do not become part of the contract, even if we do not expressly object to them.
PART A · ALL CLIENTS · 2
How a contract is formed
What this is about: We keep it simple. A clear confirmation by email is enough.
2.1 Our offers are non-binding until you accept them. A contract is formed when you accept our offer in text form (for example by email or messenger), when we confirm your request in text form, or when you buy a digital product through our online checkout.
2.2 Content, scope, dates and fees follow from the offer or the order confirmation. For ongoing engagements, a framework agreement can set out the details.
2.3 In case of conflict, this order applies: (1) the individual agreement in the offer or order confirmation, (2) a framework agreement, (3) these terms.
PART A · ALL CLIENTS · 3
Roles and responsibility
What this is about: We work with you as coaches, consultants and, where it fits, as hands-on contributors. We build knowledge and skills on your side. Implementation in your organization stays in your hands.
3.1 We provide services. We owe careful, competent performance based on our current experience. We do not owe any particular economic, organizational or personal outcome, unless something else is expressly agreed in the individual case.
3.2 You decide whether and how to implement recommendations, concepts and work results. Responsibility for implementation and its consequences in your organization lies with you.
3.3 For our work together to succeed, you provide the agreed information, contact persons, access and rooms in good time. If our services are delayed because such cooperation is missing, agreed dates shift accordingly.
3.4 Our coaching is business coaching on professional questions. Every person remains responsible for their own decisions in coaching.
3.5 Services may be delivered by Alexander Keller, Nadine Köhler or carefully selected partners with equivalent expertise. If a specific person was expressly promised, we agree any change with you in advance.
PART A · ALL CLIENTS · 4
How we work: remote first, step by step
What this is about: We work mostly online. That saves time and travel and leaves room for your topics. We meet in person when it serves the work.
4.1 We usually deliver our services online. We bring a well-tested digital setup for this. We are also happy to work in your existing systems if you give us the necessary access.
4.2 On-site dates are agreed case by case. Section 5.6 covers how travel is billed.
4.3 We work iteratively. Work results reflect what is possible at that point within the agreed scope. We build your feedback on interim results into the next step. Changes beyond the agreed scope, including fees, are agreed with you in advance.
PART A · ALL CLIENTS · 5
Fees and payment
What this is about: Paying on time keeps everyone’s head clear for the actual work. That is why our rules are simple.
5.1 The agreed fee applies. All prices for business customers are exclusive of statutory VAT, where applicable. For business customers with a valid VAT ID in another EU member state, you owe the VAT under the reverse charge procedure. Prices for consumers are final prices.
5.2 We bill workshops, trainings, seminars, keynotes and coaching in advance. We invoice the fee with the order confirmation. If the offer provides for installments, we bill at least half of the fee in advance and the rest after delivery. Ongoing engagements are billed monthly. Digital products are paid at purchase.
5.3 Invoices are due immediately upon receipt, without deduction.
5.4 Advance invoices must be paid into our account no later than 30 days before the first date. Until then we book things like travel and accommodation. If you book less than 30 days before the date, payment is due immediately on receipt of the invoice.
5.5 If an advance payment has not arrived by that deadline, we will remind you and set a grace period of five days. If payment still has not arrived, we may cancel the date. If you are a business customer, section 6.1 then applies as if you had canceled on the day of our cancellation. If you are a consumer, the contract ends without a cancellation fee.
5.6 Our prices are all-inclusive. Travel costs and travel time are included unless the offer says otherwise.
5.7 Statutory default interest applies to late payments. For business customers, we may also withhold further services until open invoices are paid, after giving reasonable notice.
PART A · ALL CLIENTS · 6
Dates, rescheduling and cancellation
What this is about: For a workshop, we block time we cannot give to anyone else. That is why there are clear deadlines. If we have to drop out ourselves, we take care of a replacement.
6.1 Workshops, trainings, seminars and keynotes
(a) You can cancel a booked date in text form. What counts is when your message reaches us. If you cancel, we charge:
- 30 days or more before the date: free of charge
- 29 to 14 days before the date: 50% of the agreed fee
- less than 14 days before the date: 100% of the agreed fee minus travel costs saved
Travel costs count as saved if we have not yet booked them bindingly or can cancel them free of charge.
(b) Rescheduling is free if you request it in text form no later than 31 days before the date and we agree on a new date within 12 months. From 30 days before the date, we treat rescheduling as a cancellation under the scale above.
(c) You are always free to show that we suffered no loss or a significantly lower loss. In that case you only owe that lower amount.
(d) If you have paid more than is due under the scale, we refund the difference within 14 days.
(e) If a registered participant cannot attend, you may send a substitute from your organization at any time free of charge. Just let us know briefly.
6.2 Individual coaching
(a) You can cancel or reschedule a coaching session free of charge up to 48 hours in advance.
(b) If you cancel later or do not show up without canceling, we charge the full fee for that session. Section 6.1 (c) applies accordingly.
6.3 If we have to cancel
(a) If a scheduled person drops out due to illness or another important reason we are not responsible for, we offer you an equivalent replacement or a new date. If you accept neither, we refund in full any fee already paid for the canceled service.
(b) The same applies in cases of force majeure, meaning events beyond our control such as severe weather, transport strikes, orders by public authorities or pandemics. Where possible, we offer to hold the session online.
(c) Further claims arising from such a cancellation, for example for your own travel or room costs, exist only under section 11.
PART A · ALL CLIENTS · 7
Ongoing engagements
What this is about: In longer collaborations, we rely on conviction rather than long commitments. Both sides decide each month whether to continue the journey together.
7.1 If we agree on an ongoing engagement without a fixed end date, either side can end it in text form with 14 days’ notice to the end of a calendar month.
7.2 The details (start, rhythm, monthly budget, handling of rescheduled sessions) are set out in a framework agreement or the offer.
7.3 Both sides’ right to terminate for good cause without notice remains unaffected.
PART A · ALL CLIENTS · 8
Confidentiality
What this is about: What you share with us stays with us. Without this protected space, honest work is not possible.
8.1 We treat all information we learn about you, your organization and the people involved during our work together as confidential. We do not pass it on to third parties unless you agree or we are legally required to.
8.2 This does not apply to information that is publicly known or that we demonstrably received from third parties without a duty of confidentiality.
8.3 We do not pass on content from coaching sessions, especially coachees’ personal topics, even to the company paying for the coaching. What gets reported is agreed with everyone involved at the start.
8.4 We name you as a reference (name, logo) only with your express consent.
8.5 Confidentiality continues after our work together ends.
PART A · ALL CLIENTS · 9
Use of AI and data protection
What this is about: We use AI tools as sparring partners in the background. The thinking, the judgment and the human encounter stay with the people on both sides.
9.1 We use AI tools, for example to structure, research and draft concepts. People always handle the expert review and final assessment of all results.
9.2 Before we work with AI tools, we anonymize information about you, your organization and the people involved as far as the task allows. We leave out names and other personal data wherever they are not needed for the result.
9.3 Where an AI tool allows it, we switch off the use of our inputs for training its models.
9.4 How we process personal data is described in our privacy policy. If we process personal data of your employees on your behalf, we conclude a data processing agreement under Art. 28 GDPR where needed.
PART A · ALL CLIENTS · 10
Who owns what
What this is about: You may use what we create specifically for you. Our methods and tools remain ours, and you may use them internally.
10.1 For work results we create individually for you (for example concepts, analyses, presentations for your project), you receive, after full payment, a non-exclusive right to use them for your own purposes, unlimited in time and territory. This includes the right to edit the results and use them within your group of companies.
10.2 Our methods, frameworks, training materials, templates and tools that we bring into our work together or have developed independently remain our intellectual property. You may use them for internal purposes within your organization. Passing them on to third parties, publishing them, selling them or using them in your own trainings for third parties requires our consent in text form.
10.3 Audio and video recordings of workshops or coaching sessions are only allowed with the consent of everyone involved.
PART A · ALL CLIENTS · 11
Liability
What this is about: We stand by our work. To keep the risk predictable for both sides, there are clear limits.
11.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, and wherever the law does not permit a limitation of liability.
11.2 For slight negligence, we are only liable if we breach an essential contractual obligation, meaning an obligation whose fulfillment makes performance of the contract possible in the first place and on which you may regularly rely. In that case our liability is limited to the foreseeable damage typical for this type of contract.
11.3 For business customers, our liability under 11.2 is also capped at the fee for the order concerned, and for ongoing engagements at the fees of the last three months.
11.4 We are not liable for decisions you make based on our recommendations or for their implementation, unless an error in our service materializes.
11.5 These rules also apply to the personal liability of our employees and partners.
PART A · ALL CLIENTS · 12
When things get stuck
What this is about: Different perspectives are part of good collaboration. We resolve them in conversation first.
12.1 If there are disagreements, we first talk directly with each other. Both sides make an effort to find a time soon, to listen to each other and to look for a solution that works for both.
12.2 Statutory deadlines and rights remain unaffected.
12.3 Consumers can also turn to the Estonian Consumer Disputes Committee (Tarbijavaidluste komisjon) in case of a dispute, reachable via ttja.ee. Before doing so, you should give us the chance to solve the problem ourselves.
PART A · ALL CLIENTS · 13
Applicable law and place of jurisdiction
What this is about: Our company is based in Estonia, so Estonian law applies. As a private individual, you do not lose any protection that the law of your country of residence grants you on a mandatory basis.
13.1 All contracts with us are governed by the law of the Republic of Estonia, excluding the UN Convention on Contracts for the International Sale of Goods.
13.2 If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection of the mandatory provisions of the country where you have your habitual residence.
13.3 Should a dispute ever remain unresolved despite talking (section 12), the place of jurisdiction for business customers is Tallinn, Estonia (Harju Maakohus). We may also bring proceedings at your place of business instead. If in doubt, that saves you the trip to Estonia. For consumers, the statutory places of jurisdiction apply.
PART A · ALL CLIENTS · 14
Final provisions
14.1 We record changes and additions to contracts in text form, so both sides can look up what applies. Individual agreements always take precedence, even if they were only made verbally.
14.2 We may change these terms for the future. For contracts already concluded, the version in force at the time of conclusion applies. For ongoing engagements with business customers, we notify you of changes in text form at least four weeks in advance. If you do not object within this period, the new version applies from the stated date. We will point out this consequence explicitly in the notice. If you object, the previous version continues to apply, and either side can end the engagement under section 7. This does not apply to changes to fees or scope of services, which require your express consent. For consumers, we change ongoing contracts only with express consent.
14.3 If any provision is invalid, the remaining provisions remain valid.
14.4 These terms are available in German and English. In case of discrepancies, the German version prevails.
PART B · CONSUMERS · 15
Right of withdrawal
What this is about: If you book us as a private individual, you have additional rights. The most important ones are here.
15.1 As a consumer, you have a statutory right of withdrawal for contracts you conclude with us online, by email, by phone or by other means of distance communication. The details are in the withdrawal notice below.
15.2 Coaching and other services: If a coaching engagement is to start within the 14-day withdrawal period, we need your express request for this. If you withdraw afterwards, you pay an amount proportionate to the services provided up to that point. Once we have fully performed the service, your right of withdrawal expires if you gave your express prior consent and acknowledged that you are aware of this.
15.3 Digital content (for example self-paced courses): Your right of withdrawal expires once we begin supply after you have (1) expressly agreed that we begin before the withdrawal period ends, (2) acknowledged that you thereby lose your right of withdrawal, and (3) we have provided you with the contract including this confirmation on a durable medium (for example by email). Without these steps, you keep your right of withdrawal.
PART B · CONSUMERS · 16
Cancellation and rescheduling for consumers
16.1 For consumers, the rules in section 6 apply with this proviso: you can always show that we suffered no loss or a significantly lower loss than the flat rate. In that case you only pay that amount. Your right of withdrawal is not affected by section 6.
16.2 If you have booked a coaching package with several sessions, you can end it at any time. You then pay for the sessions already held and for any sessions you canceled too late under section 6.2. We refund any fee already paid for the remaining sessions.
PART B · CONSUMERS · 17
Withdrawal notice
We reproduce the following notice in the wording of the official EU model.
Right of withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us (Alnaledari OÜ, J. Kunderi tn 8a, 10128 Tallinn, Estonia, email: alex@humansmatter.org, phone: +49 179 144 70 30) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the attached model withdrawal form, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.
Model withdrawal form

Purchase and access
What this is about: You buy our self-paced courses online and use them at your own pace. Here is what comes with them.
18.1 You buy digital products through our checkout at checkout.humansmatter.org. The contract is formed when you submit your order with the order button. Our service provider ThriveCart provides payment processing and the learning platform.
18.2 After payment, you receive your login details by email. Access is unlimited in time for as long as we offer the course.
18.3 If we discontinue a course with unlimited access, we announce this at least three months in advance and give you the opportunity to save downloadable content during that time.
PART C · DIGITAL PRODUCTS · 19
Rights of use
19.1 You receive a non-exclusive, non-transferable right to use the course content for yourself personally.
19.2 You may not share your login details. You may not copy, redistribute or make the content publicly available, or use it in your own trainings.
19.3 Companies can purchase licenses for several people. Each license applies to one named person. Persons can be swapped on request if someone leaves the organization.
PART C · DIGITAL PRODUCTS · 20
Availability, updates and defects
20.1 We aim to keep the learning platform available with as few interruptions as possible. Short outages for maintenance or due to disruptions at service providers cannot be entirely avoided.
20.2 We may revise and update course content as long as the core of the course is preserved. For consumers, we provide the updates needed for the course to remain usable as agreed.
20.3 If a course does not work as described, your statutory rights apply. Best to write to us directly, and we will take care of it quickly.
QUESTIONS AND ANSWERS
Questions about our terms
Nothing up to 30 days before the date. Between 29 and 14 days before, we charge 50% of the fee. With less than 14 days to go, we charge the full fee minus the travel costs we can still save. If you can show that our loss is lower, you only pay that amount.
Yes, free of charge if you ask at least 31 days in advance. After that, rescheduling counts as a cancellation.
We offer you an equivalent replacement or a new date. If neither works for you, you get any fee already paid back in full.
With a short message in text form, at least 14 days before the end of the month. There is no long minimum term.
Yes. As a private individual, you also have a 14-day right of withdrawal and further protections, which are set out in Part B.
We work with AI tools, but sparingly with data. We anonymize information about you and your organization as far as the task allows. Where a tool allows it, training on our inputs is switched off.
